1.2 The Member is the individual named in Schedule A and must have reached fifteen and not yet reached twenty on the first day of their cohort. A Member under eighteen at signing acts through a verified legal guardian as legal representative and also gives a written acknowledgement. A Member aged eighteen or over signs personally. Guardian identity, authority and applicable representation requirements for international Members are verified by the Provider under applicable law. Signing as representative does not of itself create a general guarantee or unlimited indemnity in favour of the Provider.
1.3 This Agreement is formed and takes effect when both parties validly sign, except as otherwise required by law. Publication of this template, registration of interest, the issue of an offer, formation of this Agreement, place confirmation and confirmation of cohort operation are distinct stages. An offer alone does not confirm a paid place. Paid places are confirmed under clause 3; Jade Banyan Fellowship places follow the fellowship acceptance process. The Provider must not represent cohort operation or operational arrangements not yet confirmed in writing as secured.
1.4 Registration of interest receives application materials and informs assessment of whether registrations support cohort operation. It carries no application fee or deposit and does not guarantee that this cohort will operate.
1.5 Before a paid offer and payment window begin, Schedule A must identify the Member, cohort dates and commencement time, currency, price, core service scope, payment and place-protection deadlines, cohort-operation status or latest confirmation date, and refund-initiation deadline; the Provider must also supply the Insurance Requirements for separate acknowledgement. No payment obligation arises before those transaction details are confirmed.
1.6 If the Provider does not confirm cohort operation by the agreed latest date, the Member may choose in writing to wait or to cancel; on cancellation the Provider refunds the programme fee paid in full and charges no cancellation fee. Where the Provider decides not to operate the cohort, it must notify the Member in writing by the latest confirmation date stated in Schedule A and refund the programme fee paid in full under clause 10.4.
1.7 The Member and, for a minor, the guardian represent and warrant to the Provider that: the application materials and the information provided are true, accurate and complete; the health, medication and activity-eligibility information provided by the Member is true and complete; and the Member is physically fit to take part in the programme. If the Member or, for a minor, the guardian conceals or misrepresents material information intentionally or with gross negligence, the Provider may terminate this Agreement and pursue the corresponding liability under law.
Programme and services
2.1 This programme is a ten-day, nine-night international residential programme in Hainan, China, built around shared residential life, daily golf instruction, optional afternoon activities, the Banyan Lab co-creation project and a closing team event. English is the shared language; Members may also use other languages. Confirmed and protected places together may not exceed eighteen per cohort. This cap is not an established minimum operating number. The Provider assesses registrations and actual preparation and confirms cohort operation in writing under clauses 1.5 and 1.6.
2.2 The programme fee includes nine nights of accommodation, meals, programme activities, programme transport and standard transfers to and from Sanya Phoenix International Airport during the published window. It excludes the following: domestic or international airfare to Sanya, passport and visa costs, insurance arranged by the Member, independent travel outside the programme, additional accommodation and personal spending. Before collecting payment, the Provider supplies the cohort service scope and substantive standards and confirms the cost scope for golf instruction, necessary equipment and scheduled activities. Specific venues, providers and operational details may be settled later under clause 2.4. The Provider must exercise reasonable care for Members, give safety instructions and carry out the necessary review of actual providers. The programme fee is a tax-inclusive total price.
2.3 Optional activities depend on cohort operation, weather, interest, safety, Member eligibility and provider availability. Actual providers may be selected after the cohort is confirmed to operate, but the Provider must complete the necessary review before scheduling. Examples of activities do not constitute a promise that every activity will be provided. This does not affect core services expressly guaranteed in Schedule A or the rights concerning material changes in clause 9.
2.4 Specific suppliers, accommodation and rooming, instructors, activity lists, handover personnel, urgent-contact routes and device arrangements may be settled after the Provider assesses that registration supports activation and the project formally starts. They need not be secured at registration of interest. No later than fourteen days before departure, the Provider supplies written cohort-operation and pre-departure arrangements to the Member and, for a minor, to the guardian. Applicable qualification, safety, insurance and information-processing steps must precede the relevant service or processing. Later details cannot arbitrarily reduce agreed core services or add unagreed charges; material changes follow clause 9.
Fees, payment and place confirmation
3.1 The standard programme fee is US$15,000 or RMB 100,000, the booking currency is selected by the Member or, for a minor, the guardian. These are independent prices rather than amounts exchanged at a fixed rate. There is no application fee or deposit. A paid offer uses the currency, amount payable and deadline in Schedule A. The ordinary payment window is seven calendar days after the offer, with exact start and deadline times stated in the offer documents. A Jade Banyan Fellowship follows its written offer; a fully funded place owes no programme fee and requires no payment. The Provider must not require the Member to pay into both accounts at the same time. Where payment is made from outside mainland China, the booking currency is USD.
3.2 A paid place is confirmed only when the full amount payable has actually been received in the designated company account and is verified by authorised Provider staff. The Provider must issue written place confirmation and provide payment evidence and an invoice in accordance with applicable laws and administrative regulations. A remittance receipt or bank sending status alone is not verification of receipt. Fellowship funding and any amount payable must be specified in Schedule A; a fully funded place requires no payment formalities.
3.3 The Member’s remittance must use the company account in Schedule B corresponding to the agreed currency. Include the offer or contract reference and, where helpful, the Member name. For USD, choose OUR or another sender-pays option, so that the full net amount of US$15,000, or the amount payable stated in Schedule A, is received. For RMB, transfer the full Schedule A amount. The Provider discloses bank-charge arrangements before payment and must not arbitrarily increase the price afterwards. Personal-account collection, instalments and additional charges not agreed in writing are outside these arrangements.
3.4 Late, short or unmatched payments are reconciled manually by the Provider. The Provider contacts the remitter and explains correction or return in writing. The payment deadline, the place-protection deadline and the cohort-operation status or latest confirmation date must be recorded in Schedule A at the offer stage. Unexpected payments cannot exceed the eighteen-place cap. If no place remains and no other cohort is agreed in writing, the payment is returned. An unexpected payment for which no service is provided is not subject to a Member-cancellation charge. The deadline for returning the payment follows clause 10.5.
Travel transfers and handover
4.1 The Member or, for a minor, the guardian is responsible for obtaining passports, visas or other entry permissions, flights to and from Hainan and the travel requirements applicable to that person. Domestic transport from the Member’s place of habitual residence to the point of departure is arranged and paid for by the Member; Independent travel, additional accommodation and costs outside the programme are addressed in Schedule A. The Provider must supply accurate programme information reasonably needed for travel arrangements; it does not guarantee visa issuance or flight operation.
4.2 The standard airport is Sanya Phoenix International Airport (SYX). Standard transfers apply to flights scheduled to arrive or depart between 10:00 and 18:00 Hainan local time on the specified arrival or departure date. Meeting points, departure arrangements and included costs must be recorded in Schedule A. Out-of-window travel or flight changes require the Provider’s manual review and written confirmation; the Provider does not promise 24-hour transfer service. Staff must verify authorised handover persons and record handover of minors under the final arrangements. Transfers outside that window may be arranged upon the Provider’s written confirmation, with the cost borne by the Member or dealt with as agreed in Schedule A.
Conduct and safeguarding
5.1 Members must follow the Community Code, the Phone-Free Policy, reasonable rooming arrangements and safety instructions from the Provider’s staff and activity providers, and must respect other persons’ person and property, privacy, quiet hours and room-return times. Members must not stay overnight in another Member’s room. Prohibitions, including alcohol, tobacco and vaping, illegal drugs, bullying, harassment, violence and leaving programme areas without approval, are set out in the Community Code supplied at signing.
5.2 The Provider may take measures proportionate to the actual risk or seriousness of conduct, including discussion, increased supervision, restriction of a specific activity, rooming adjustment, family contact, temporary separation or early departure. Immediate risk may require protective action first.
5.3 For a serious non-urgent early-departure decision, the Provider must, where practicable, first explain the reasons to the Member and hear the Member and, for a minor, the guardian, and then obtain confirmation by two authorised staff members; after the decision is made, the Provider must notify the minor’s guardian of the decision and the reasons in writing. Automated systems must not make disciplinary or early-departure decisions.
5.4 Where a Member departs early, the Provider must arrange safe handover and explain transport, accompaniment and costs. A minor must be handed to the guardian or a verified authorised recipient and must not be left without care. Costs and refunds arising from conduct-related or medically required early departure are governed by clause 10 and applicable law. Complaints or safeguarding requests must not lead to retaliation.
Health insurance and activity risks
6.1 Every Member must arrange and maintain, at their own expense, travel medical insurance that meets the Provider’s written Insurance Requirements, for the whole period from departure from their place of habitual residence until their return. For a Member under eighteen, the guardian arranges the insurance in accordance with the insurer’s requirements and confirms that the Member remains covered when travelling led by programme personnel without a parent or guardian. Insurance already held may be submitted for review by the Member and, for a minor, the guardian if it meets all the requirements, and duplicate cover is not required.

6.2 The Member’s insurance must include accident and sudden acute illness medical expenses and emergency medical evacuation and repatriation, must cover the relevant risks of daily golf instruction and general outdoor and physical activities, and must, where applicable, include travel to China and repatriation to the Member’s place of habitual residence. The minimum limits are set out in the table below and apply by place of habitual residence and journey category, independently of the programme-fee currency; the two sets of limits are independent standards and are not converted by exchange rate.
6.3 For high-risk activities such as scuba diving, paragliding, surfing, bouldering, riding, mountain biking, rafting and canyoning or waterfall rappelling, and for any other activity requiring explicit cover, the Member must submit the corresponding evidence of cover; insurance that expressly covers the activity and meets the requirements need not be duplicated, and cover that is missing or insufficient must be supplemented.
6.4 At least seven calendar days before departure from habitual residence for the programme, the Member or minor’s guardian submits a valid policy or insurance certificate, benefit schedule, relevant terms or endorsements and twenty-four-hour emergency assistance contacts for review. Activity cover must be evidenced by the insurance contract, endorsement or insurer’s written confirmation. If a selected provider imposes further requirements, the Provider explains any shortfall in writing and allows it to be addressed before departure or the activity. Late or non-compliant evidence may result in restriction or refusal of programme or activity participation; cancellation and refunds follow clause 10 and the Cancellation & Refund Policy.
6.5 Outdoor, sporting and water activities involve inherent risks. Members must follow equipment and safety requirements and stop and inform staff if unwell or unable to continue safely. The Provider or activity provider may restrict an activity under actual safety, eligibility or insurance requirements and arrange an alternative form of participation where reasonably practicable. Risk acknowledgement does not exclude legal responsibility of the Provider or activity provider or replace necessary provider review and safety measures.
6.6 Receiving health information does not authorise staff to diagnose, prescribe or change treatment unless separately qualified and legally authorised. Members and guardians authorise staff, when urgent medical treatment is needed and guardian consent cannot be obtained in time, to seek necessary treatment and complete formalities required by the medical institution. The Provider promptly seeks assistance and contacts the designated person as soon as practicable; qualified professionals decide clinical treatment. Reasonable costs follow insurance claims and applicable law. The Provider must not delay necessary emergency assistance for lack of payment.
6.7 After admission and before collecting payment, the Provider supplies the written Insurance Requirements to the Member and, for a minor, to the guardian with the offer materials, setting out the applicable journey category, minimum limits and currency, benefit items, covered activities and the deadline for submitting insurance materials. The Member and, for a minor, the guardian must separately acknowledge receipt and understanding in writing; the Provider records the date of supply, the acknowledging person and the date. This acknowledgement does not mean that insurance has been purchased, has passed review or will pay a claim; that separate acknowledgement is not dispensed with by the signing of this Agreement. Schedule D provides the record of that separate acknowledgement.
6.8 The Provider arranges programme liability insurance and reviews relevant activity-provider insurance. Company policy type, limits, currency, scope and insurer may be settled after project activation according to the actual plan, with the applicable cover effective before the first transfers or programme activities arranged by the Provider begin, whichever is earlier. This Agreement does not state that a policy has already been purchased. Member insurance does not replace the Provider’s safety, provider-review, safeguarding or emergency duties or reduce the Provider’s legal responsibility.
Phone custody and safety devices
7.1 At check-in, the Member’s personal phone is powered off and individually identified by Member, kept in the Provider’s proper custody, and returned at departure; the Provider must keep records of receipt and storage. Temporary use is permitted only where a specific necessity arises, subject to approval by the Provider’s staff, including: travel or identity-verification matters, a serious family event, health or safeguarding needs, and other necessities that genuinely cannot reasonably be handled without the device. The Provider records the reason for temporary use, the approving person, the times of issue and return and the re-storage; temporary use does not count as the phone having been formally returned. Staff must not inspect the call records, messages, photographs or other content on a phone. Loss or damage due to a cause not attributable to the Provider or to the nature of the item is borne by the Member and, for a minor, the guardian. This clause does not exclude the Provider’s legal custody responsibilities.
7.2 The Provider issues each Member a GPS/SOS safety wristband as an additional safety tool, the device is not used for continuous monitoring and does not constitute a promise of constant connectivity, accurate real-time location or rescue by the device alone. A guardian is not entitled to unrestricted access to the Member’s location information. The device, provider, testing, network and data arrangements are settled after project activation. Applicable notice, separate consent and other legal steps must precede location processing; access is restricted to authorised staff with an actual safety need. The Member must return the wristband at departure; damage or loss caused by the Member is borne by the Member and, for a minor, the guardian. If a Member cannot be reached during the programme, the Provider must immediately start search and response procedures and promptly contact the minor’s guardian. Devices do not replace human supervision, handover or emergency procedures.
7.3 By no later than seven days before arrival, the Provider must supply an official urgent-contact route and a backup route. Names, telephone numbers and service hours are recorded in Schedule A. The Member’s phone and wristband are not routine family-contact channels. A Member may make a reasonable request through the Provider’s staff to contact the guardian; the Provider does not promise immediate replies from the Member and does not arrange fixed daily family calls.
Personal information and photography choices
8.1 Before collecting personal information, the Provider must supply a clear Privacy Notice explaining purposes, categories, retention, service providers and rights, and implement appropriate safeguards. The Provider must provide an accessible withdrawal route for consent-based processing; the Member and, for a minor, the guardian may withdraw consent at any time. Withdrawal of consent does not affect the effect of personal-information processing already carried out on the basis of that consent before withdrawal. Sensitive health and location information, disclosures and cross-border processing require the notices, separate consent and other steps applicable to the actual arrangement. Signing this Agreement does not relieve the Provider of its obligation to give the notices, obtain separate consent and complete the other legal formalities set out above.
8.2 Programme photography and public promotion require separate, voluntary and express choices, and the Provider must not preselect any option; a refusal by the Member or, for a minor, the guardian does not affect admission, a Jade Banyan Fellowship, eligibility or participation. Programme photography consent does not include public promotion automatically. Promotional scope and the period of up to twenty-four months after the Member’s cohort ends follow the Promotional Media Consent. Excluded uses, including paid advertising, third-party licensing, AI training or facial recognition, full legal name, testimonials and identifiable voice, require separate specific authorisation. Withdrawal and its handling follow the relevant Separate Authorisation Document. Where the Member or, for a minor, the guardian consents under the Programme Photography Consent and the Promotional Media Consent, the Provider may use photographs and videos containing the Member’s identifiable image within the scope agreed in those consents. Copyright in programme photography and video works and the licence to use them are agreed separately in writing between the Provider and the photographer; copyright in works created by a Member during the programme belongs to the creator. Signing this Agreement does not constitute consent under the Programme Photography Consent or the Promotional Media Consent. Those choices are made and signed separately by the Member or, for a minor, the guardian in the corresponding consent documents, and the Provider retains the corresponding document versions.
8.3 隐私及授权请求可联系 admissions@jadebanyansociety.com。
8.3 Privacy and consent requests may be sent to admissions@jadebanyansociety.com. Consent or refusal for photography and promotion is signed by the Member or, for a minor, the guardian, and the Provider retains the corresponding document versions. Schedule D records document delivery and completion only; it is not blanket authorisation for photography, location or health information.
Programme adjustments and service changes
9.1 Weather, safety, actual provider arrangements or Member eligibility may require reasonable adjustments to individual activities, timing, routes or personnel. The Provider should explain the reasons and alternatives in advance where practicable. Adjustments must maintain the substantive standard of the agreed services and cannot justify arbitrary reductions in core services or unilateral price increases.
9.2 A proposed change to confirmed dates, core services or principal location, or a substantial reduction in accommodation or service standards, must be proposed in writing for agreement. Urgent safety measures may be implemented first with prompt explanation. If a change defeats the contractual purpose or gives the Member a legal right to terminate, refunds and responsibility follow law and clause 10. Describing one activity as optional does not exclude all remedies.
Cancellation, early departure and refunds
10.1 Where the Member or, for a minor, the guardian cancels, the cancellation must be submitted in writing through the official channel in clause 12, recording verifiable receipt. Refund timing uses the programme commencement date and Hainan local time (UTC+8) stated consistently in the Member’s offer documents and Schedule A. An unconfirmed commencement date cannot be used to calculate cancellation charges. Non-excludable refund, termination, Provider-breach remedies and other consumer rights take priority.
10.2 The following ordinary arrangements apply to cancellation by the Member or, for a minor, the guardian, subject to clauses 10.1, 10.3 and 10.6 and the exceptions in the Cancellation & Refund Policy. The table does not exclude statutory rights.
Ordinary refund arrangement |
|---|---|
More than 30 calendar days before commencement | 甲方退还已付项目费,美元订单扣除 US$1,000,人民币订单扣除 RMB 7,000;扣费金额不超过已付项目费。 Refund fee paid less US$1,000 for USD bookings or RMB 7,000 for RMB bookings, capped at the fee paid. |
30 calendar days or fewer before commencement | 退还已付项目费的50%。 Refund 50% of the programme fee paid. |
Ordinarily no refund, except company cancellation or failure of core services, unperformed services on early departure for illness or conduct, and legally required refunds. |
10.3 Illness, visa refusal, flight or personal-travel disruption and voluntary withdrawal follow the same ordinary refund arrangements, unless the Provider agrees otherwise in writing or mandatory law requires otherwise. Where the Member departs after commencement for illness or conduct-related reasons, performed services are not refunded and fees for unperformed services are settled under clause 10.6.
10.4 If the Provider cancels the entire programme, all programme fees paid are refunded in full, including where registration or preparation is insufficient for the cohort to operate. The Provider’s failure to provide agreed core services, breach, failure to perform safety duties, material service changes and lawful termination are not subject to the unreasonable restrictions of the ordinary refund table. Airfare, visas, independent travel, outside accommodation, consequential losses and other third-party costs are not automatically part of that programme-fee refund. Liability for Provider breach or other legally attributable circumstances is not thereby excluded. Notify cancellation promptly in writing and assist in mitigating avoidable loss. The Provider must not replace a refund with postponement, credit or another cohort without agreement.
10.5 Authorised finance staff receive and reconcile refund requests. Refund deductions and exchange-rate treatment must have a lawful basis, and no deduction may be made without a basis. The Provider promptly acknowledges a request and explains required information, the settlement basis, amount due and expected initiation time. The cohort-specific refund-initiation deadline is agreed in writing in the offer documents and Schedule A before collecting payment; a shorter period required by law or administrative regulation prevails. Initiate refunds promptly under that arrangement without indefinite delay for internal allocation or ordinary reconciliation. Normally refund the original currency to the original remitter or account. If banking, foreign-exchange or anti-money-laundering requirements necessitate an extension, the Provider must explain the reason and expected completion date in writing within the agreed period and provide the refund instruction or processing record. Distinguish initiation from actual bank settlement.
10.6 For early departure after commencement due to illness or conduct, the Provider itemises services actually performed up to safe handover, unperformed services, corresponding values, the calculation basis and refund due. Settle using agreed service prices and actual proportions performed. Where component prices were not agreed, calculate reasonably from verifiable service value and actual performance, observing applicable prepayment-refund rules. The Provider cannot inflate performed-service prices afterwards, treat unprovided services as performed, or assume that a supplier reservation means performance to the Member. Unsupported fixed deductions, expected profit and duplicate charges cannot erode refunds legally due for unperformed services. Fellowship support not actually paid by the Member is not exchanged for a cash refund. Where laws, administrative regulations or judicial interpretations make special provision for the refund of prepayments, those provisions prevail.
Responsibility, force majeure and statutory rights
11.1 Each party must perform this Agreement and its legal duties. The Provider bears applicable responsibility for contracted services, reasonable safety and care, provider selection and necessary supervision, information protection and property custody. Outsourcing or risk acknowledgement does not automatically exclude responsibility. The Member or, for a minor, the guardian must provide reasonably necessary information honestly and cooperate with safety arrangements. Liability follows actual fault, causation and law, without unlimited indemnities or blanket exclusions.
11.2 This Agreement does not exclude liability for personal injury to the other party or for property loss caused by intentional wrongdoing or gross negligence. Insurance, refund limits, activity restrictions or Member acknowledgements do not replace non-excludable legal responsibility. Ordinary remedies include performance, correction, appropriate refunds and compensation as provided by law and this Agreement.
11.3 For an event legally constituting force majeure, the affected party must notify the other party in writing within five days of the date on which it knew or ought to have known of the event, supply evidence within a reasonable time and mitigate its effects. Any relief depends on the actual effect on performance and law. Ordinary provider unavailability or a commercial decision is not automatically force majeure. If performance cannot continue, settle performed and unperformed services, refunds and other responsibility as required by law; the Provider’s whole-programme cancellation refund commitment in clause 10.4 applies.
Notices, complaints and account changes
12.1 The Provider’s official email for contractual notices, cancellation, refunds and complaints is admissions@jadebanyansociety.com. The Member’s and, for a minor, the guardian’s contact details are recorded in Schedule A; the Member or, for a minor, the guardian must notify a change of contact details to the Provider promptly in writing. Retain verifiable sending and receipt records for important notices. A website update alone cannot replace agreement to change a signed contract. Use the urgent and backup numbers in Schedule A for emergencies.
12.2 The Provider must record complaints and promptly investigate and respond. Members may raise safety concerns with staff; concerns involving a staff member must be received or escalated by an authorised person independent of the matter. Account changes require written confirmation through the Provider’s established official channel, preserving consistency of the contractual entity, beneficiary and invoice issuer. The remitter may verify through existing contact details.
12.3 The email addresses and addresses recorded in Schedule A are the valid addresses for service. A notice that is refused, returned or otherwise not delivered for reasons attributable to the recipient is deemed served. A party that changes its contact details must notify the other party in writing promptly; where it does not, service to the previously recorded contact details is valid.
Documents, language and disputes
13.1 The contractual documents comprise these main terms, completed Schedules A–D and the corresponding versions listed in Schedule C and actually supplied. The Participation Terms, the Community Code, the Phone-Free Policy, the Activity Participation and Risk Acknowledgement and the Cancellation & Refund Policy provide their respective agreed rules; the Privacy Notice supplies notice. Photography, promotion and matters requiring separate consent are handled in Separate Authorisation Documents. In this Agreement, “Separate Authorisation Documents” means the Programme Photography Consent, the Promotional Media Consent, the GPS SOS and Location Data notice, and any other authorisation or acknowledgement document signed separately by the Member or, for a minor, the guardian. The nine supporting policy documents were released as version 2026-10-10. The Provider must not rely on the current website page alone to replace the specific versions supplied and retained at signing.
13.2 Non-excludable law prevails, and genuinely negotiated specific terms take priority over standard terms. This Agreement and the Participation Terms and other attachments complement one another; the Provider must not unilaterally remove confirmed insurance, refund or safeguarding arrangements. Where this Agreement is inconsistent with those documents, this Agreement prevails; but this does not override the actual choices made by the Member or the guardian in the separate authorisation documents, confirmed insurance and refund arrangements, or rights that cannot be excluded by law. Schedule A supplies specific booking and service information without silently reducing the Member’s rights. Resolve conflicts expressly before signing or amendment with legally valid agreement; the Provider must not later unilaterally select text favourable to it, or remove accrued rights by updating a template, website or attachment.
13.3 The Chinese and English texts have equal effect and each party retains the same version. Differences are interpreted by reference to related provisions, the nature and purpose of the Agreement, good faith and applicable law; no language automatically excludes statutory protection. Mainland PRC law governs without excluding mandatory protections legally applicable to international Members.
13.4 The parties may attempt discussion and seek assistance from consumer organisations or competent authorities as permitted by law. An unresolved dispute may be brought before a court with jurisdiction under applicable law. Discussion is not a prerequisite to statutory remedies or timely legal protection. This Agreement does not impose compulsory arbitration or an exclusive forum.
13.5 If any provision of this Agreement is held invalid or unenforceable, the validity of the remaining provisions is not affected.
Other provisions
14.1 The Member may not assign the place or eligibility to participate under this Agreement to anyone without the Provider’s written consent.
14.2 After this Agreement is terminated, the provisions on personal information protection, liability and dispute resolution continue in effect.

Participation Terms
Version: 2026-10-10 · Effective date: 2026-10-10
The Jade Banyan Society (the "Society") is the ten-day, nine-night international residential programme held in Hainan, China; the contracting party to these policy documents and the organiser of the programme is Hainan Keraunos Education Technology Co., Ltd. (海南闪电归来教育科技有限公司, hereinafter “the company”). In these policy documents, "the Participation Agreement" means The Jade Banyan Society Programme Participation Agreement entered into between the Member and the company.
Admission and confirmation
Participation is by admission only. Members must have reached the age of fifteen and must not have reached the age of twenty on the first day of the cohort for which they are enrolled. Admissions decisions are made by the company’s admissions staff on the basis of the application materials, and are not made by automated ranking or scoring.
For a Member who has not reached the age of eighteen, the application, acceptance of the offer and the necessary administrative consents are completed by the legal guardian acting as legal representative, together with the Member’s written acknowledgement. A Member who has reached the age of eighteen completes these steps personally.
Receipt of an offer does not of itself confirm a paid place. A paid place is confirmed when the full amount payable has been received in cleared funds in the designated account and the company has confirmed it in writing. A Jade Banyan Fellowship place is confirmed through the fellowship acceptance procedure and requires no payment formalities.
Programme structure
The programme is built around shared residential life, daily golf instruction, optional afternoon activities, the Banyan Lab co-creation project and a closing team event.
English is the shared language of the programme. Members may also use other languages.
The company may make reasonable adjustments to published schedules, instructors, activity providers, routes, locations and individual activities where required by weather, safety, Member eligibility, activity-provider arrangements or changes in operational conditions. No specific optional afternoon activity or provider is guaranteed to every Member .
Activity providers may be selected after the company confirms that the relevant cohort will operate. An activity is scheduled only after the applicable provider and member-eligibility review has been completed.
Safety and conduct
Members must follow the Community Code, Phone-Free Policy, the accommodation arranged by the Society, health and insurance requirements and reasonable safety instructions given by Society staff and activity providers.
Where a Member does not meet the safety, eligibility or activity-provider requirements applicable to a specific activity, the company or that activity provider may pause, limit or decline the Member’s participation in that activity.
The company may take measures proportionate to the risk or the seriousness of the conduct, including increased supervision, restriction of a specific activity, adjustment of accommodation, contact with the family, temporary separation or early departure.
Insurance and health information
Every Member must arrange and maintain qualifying travel medical insurance at their own expense and submit the insurance materials to the company for review at least seven calendar days before departing from their place of habitual residence for the programme. The coverage and review requirements are set out in Section 3, Activity Participation & Risk Acknowledgement.
Members and guardians must truthfully provide the health, medication and insurance information reasonably required for the safe operation of the programme. Providing that information does not constitute confirmation of the Member’s state of health and does not relieve Members or guardians of the duty to disclose information truthfully. Society staff do not diagnose, prescribe or change treatment unless separately holding the relevant professional qualification and legal authority.
Members and guardians authorise Society staff, where a Member requires urgent medical treatment during the programme and the guardian's consent cannot be obtained in time, to seek necessary medical treatment for that Member and to complete the corresponding formalities as required by the medical institution. Reasonable medical costs so incurred are borne in accordance with insurance claims and applicable law.
Travel and transfers
The guardian or the adult Member is responsible for obtaining passports, visas or other entry permissions, for flights to and from the programme location, and for complying with the entry, exit and travel requirements applicable to them.
The standard transfer airport is Sanya Phoenix International Airport (SYX). Standard transfers apply to flights scheduled to arrive or depart between 10:00 and 18:00 local time on the arrival or departure date specified in the programme. Transfers outside that window require the company’s prior review and confirmation, and the company will use reasonable efforts to arrange them. The company does not promise to provide a 24-hour transfer service.
Phones and GPS/SOS device
At check-in, personal phones are powered off and placed in the company’s proper custody, and are returned on departure; a Member may use a phone temporarily only with approval in the specific circumstances set out in the Phone-Free Policy.
The company issues each Member with a GPS/SOS safety wristband. The device is an additional safety tool and does not constitute a commitment to continuous connectivity, live tracking or emergency rescue.
Cancellation and Refunds
Cancellation and refunds are handled in accordance with the Cancellation & Refund Policy.
Other legal provisions
These policy documents are governed by the laws of mainland China.
Community Code
Version: 2026-10-10 · Effective date: 2026-10-10
The Society is built around shared residential life, mutual respect, privacy boundaries and personal responsibility.
All Members, whatever their age, must comply with the same core conduct standards.
Members must not:
possess, use or supply alcohol, nicotine, vaping or tobacco products, narcotic drugs or other illegal substances;
misuse prescription or over-the-counter medication, or pass it to another person;
possess weapons, fireworks or other prohibited dangerous items;
tamper with safety equipment;
engage in bullying, harassment, discrimination, threats or violence;
engage in any sexual or physical contact against another person’s will;
engage in sexual activity with another member during the programme;
enter another Member’s bedroom, bathroom, changing area or private space without permission;
leave the villa, the programme area, an activity group or programme transport without the knowledge and approval of staff;
retaliate against anyone who raises a concern or a safety issue.
Members must respect other persons, their physical safety and their property, privacy, quiet hours, room-return times, safety instructions and the Phone-Free Policy. Overnight visits between rooms are not permitted.
Any serious concern may be reported to a staff member. If the concern involves the Programme Lead, the Night Duty Lead on duty acts as the Alternate Safeguarding Contact. If both are involved or unavailable, another Villa Staff provides the secondary route and escalates the matter to the company or the founder.
Where a staff member becomes aware in the course of work that a Member who has not reached the age of eighteen has been harmed or is suspected of being harmed in body or mind, or faces other danger, the company will report to the public security, civil affairs, education or other competent authorities without delay.
Responses are made by the company and must be proportionate to the seriousness of the matter. They may include a conversation, increased supervision, restriction of a specific activity, adjustment of accommodation, contact with the family, temporary separation or early departure.
Immediate protective action may be taken where safety requires it. Where practicable, serious non-urgent early-departure decisions must be subject to review by two authorised staff members. Disciplinary and early-departure decisions must not be made by an automated system.
Early departure of a minor requires documented handover to the guardian or a verified authorised recipient. Before deciding on early departure, the company will explain the reasons to the Member, hear the Member and the guardian, and notify the guardian of the decision and the reasons in writing.
Activity Participation & Risk Acknowledgement
Version: 2026-10-10 · Effective date: 2026-10-10
The programme may include daily golf instruction and optional rainforest, water, coastal and other physical activities. Activities may include hiking, mountain biking, rafting, canyoning/waterfall rappelling, bouldering, riding, surfing, snorkelling, scuba diving, sailing and paragliding, but the final activity schedule depends on whether the cohort operates, activity-provider arrangements, weather, Member interest and Member and activity-provider eligibility.
Outdoor and sporting activities involve inherent risks that cannot be completely removed. Depending on the activity, risks may include falls, collisions, unstable terrain, water conditions, weather exposure, heat, equipment use, animals, fatigue, transport and delayed access to medical care.
Members must:
follow the instructions of Society staff and activity providers;
use the safety and protective equipment required for the activity;
provide health and medication information relevant to safety truthfully;
immediately stop and inform staff or the activity provider if they feel unable to continue safely.
Where a Member does not meet the applicable eligibility, safety, insurance or activity-provider requirements, the company or the activity provider may decline or stop that Member’s participation.
Every Member must arrange and maintain the required travel medical insurance at their own expense throughout the programme. For a Member under eighteen, the legal guardian must arrange the insurance in accordance with the insurer’s requirements and confirm that it covers travel with programme staff without a parent or guardian accompanying the Member. Existing insurance may be used if it meets all applicable requirements. The insurance period must cover the whole period from the Member’s departure from their place of habitual residence until their return.
The insurance must cover accident and sudden acute illness medical expenses, emergency medical evacuation and repatriation. It must cover the relevant accident medical, emergency medical evacuation and repatriation risks arising from the programme’s ordinary activities, including daily golf instruction and general outdoor and physical activities. For scuba diving, paragliding, surfing, bouldering, riding, mountain biking, rafting, canyoning/waterfall rappelling and other high-risk activities, and for any activity listed in the company’s written Insurance Requirements as requiring additional cover, where the Member's existing insurance expressly covers those activities and meets the requirements, no duplicate cover is required; where it does not cover them or the cover is insufficient, the Member must take out supplementary cover and submit evidence of it. Coverage must comply with the company’s written Insurance Requirements and must, where applicable, include travel to China and repatriation to the Member’s place of habitual residence.
The minimum benefit limits are as follows:
| Benefit | Habitual residence in mainland China (domestic round trip) | Habitual residence outside mainland China (cross-border travel to Hainan) |
|---|---|---|
| Accident and sudden acute illness medical expenses | RMB 500,000 | USD 100,000 |
| Emergency medical evacuation and repatriation (combined) | RMB 1,000,000 | USD 500,000 |
The two sets of limits are independent standards and are not converted by exchange rate.
The company must, after admission is confirmed and before the programme fee is collected, supply the company’s written Insurance Requirements with the offer materials, specifying the minimum benefit limits, currencies, applicable journey categories, and benefits, to enable selection of new insurance or review of existing policies. The Member, and for a minor the guardian, must confirm in writing that they have received and understood those requirements. These requirements, once confirmed, form part of this acknowledgement.
At least seven calendar days before departure from the Member’s place of habitual residence for the programme, the Member or the guardian must submit a valid policy or insurance certificate, the benefit schedule, the relevant policy terms or endorsements, and the 24-hour emergency assistance contact details for the company’s review. Coverage for the relevant activities must be evidenced by the insurance contract, an endorsement or written confirmation from the insurer. Where the insurance materials are not submitted by that deadline, or are found on review not to meet the programme requirements, the company may refuse the Member’s participation in the programme or the relevant activity, and the matter is handled under the Participation Agreement and the Cancellation & Refund Policy.
Some activities may require additional insurance or evidence once the activity provider is selected. The company must notify the Member and, for a minor, the guardian of any shortfall and allow it to be addressed before departure or participation in the relevant activity. Where an activity is not adequately insured, the company or the activity provider may refuse the Member’s participation in that activity; the company may also arrange an alternative activity where appropriate. Any resulting cancellation or refund is handled under the Participation Agreement and the Cancellation & Refund Policy.
Member-arranged insurance does not replace the company’s safety obligations, activity-provider review or emergency procedures, and does not reduce the company’s liability under applicable law. The company will arrange its own programme liability insurance, on such terms, limits and scope as it determines, and will review the relevant insurance of activity providers. Insurance claims and the company’s review of insurance materials do not affect liability under applicable law or the Participation Agreement.
Members and guardians must truthfully disclose health, medication and activity-eligibility information relevant to activity safety, and comply with the safety instructions and protective-equipment requirements of the company and the activity providers. Where harm results from a Member's or guardian's failure to disclose truthfully, failure to follow the safety instructions or breach of the requirements of this acknowledgement, liability is apportioned according to each party's actual fault and causation. This acknowledgement does not constitute a commitment that any activity will take place and does not replace the company's activity-provider review, safeguarding or emergency procedures.

GPS/SOS & Location Data
Version: 2026-10-10 · Effective date: 2026-10-10
During the residential programme, the company issues each Member with a wearable GPS/SOS safety wristband.
The device is used only as an additional programme-safety tool. It is not intended for continuous surveillance and does not constitute a commitment as to continuous connectivity, accurate real-time location or that emergency rescue can be completed by the device alone.
The guardian is not entitled to unrestricted access to the Member’s real-time location. Location information is sensitive personal information. Before processing it, the company will obtain the separate consent of the Member (for a minor Member, of the Member and the guardian) and will conduct a personal information protection impact assessment. Consent may be withdrawn at any time; after withdrawal the company will cease the corresponding location processing. Processing carried out on the basis of consent before withdrawal is not affected.
Only authorised staff may access location information where there is a genuine programme safety need, including emergency response and missing-member response.
At check-in, the company assigns the device to the Member and records its device identifier. Staff test SOS function and charge status. During the programme, the company checks the devices’ online status and battery, charges them and recovers them on departure.
Where the selected device supports voice calling, the company will, where technically possible, restrict calls to approved contacts and disable auto-answer. Consumer-grade heart-rate, blood-pressure or similar readings are not used for clinical decisions.
The company will verify and record the device model, network, data-hosting location, access logs and retention and deletion controls before live use.
Programme Photography Consent
Version: 2026-10-10 · Effective date: 2026-10-10
Programme photography/video is optional and is separate from Promotional Media consent. For a minor, the choice is made by the legal guardian after considering the Member's own views.
Where consent is given, photographs or video in which the Member is identifiable may be used for:
private programme documentation;
a restricted post-programme gallery for participating Members, guardians of participating minors and authorised staff.
This consent does not authorise public promotional use.
Where consent is refused, staff and photographers will not knowingly create identifiable images of that Member. Where the Member is incidentally identifiable in a group image, the company will, where reasonably practicable, crop, blur or exclude the image before sharing it.
Recipients of the restricted gallery must not publicly repost identifiable images of other Members without their permission.
A refusal of consent does not affect admission, fellowship, programme eligibility or treatment.
A member or guardian may change the choice in writing or by email to admissions@jadebanyansociety.com. The company will stop new controlled sharing after the change and will reasonably remove affected material from company-controlled private galleries. Copies already downloaded by authorised recipients cannot be guaranteed recoverable.
The restricted gallery is open only to Members participating in that cohort, guardians of minor Members and authorised staff, for the shortest period necessary to achieve those purposes; at the end of that period the gallery is closed and the material is handled in accordance with the retention provisions of the Privacy Notice. This consent is valid for 24 months, after the end of the Member's cohort. The ownership of the copyright in photographs, video and other works created by programme photography and filming is agreed separately in writing between the company and the photographers; where such material shows another Member who is identifiable, it must not be made public without that Member's consent. The copyright in other works created by a Member during the programme belongs to the creator; the company must obtain the creator's consent separately before using such works. The names and marks "玉榕社" and "The Jade Banyan Society" must not be used without the company's written consent.
Promotional Media Consent
Version: 2026-10-10 · Effective date: 2026-10-10
Promotional use is optional and separate from Programme Photography consent, and is dealt with separately. For a minor, the choice is made by the legal guardian after considering the Member’s own views.
Where consent is given, approved photographs or video in which the Member is identifiable may be used for 24 months after the end of the Member’s cohort in:
the Society’s owned website;
official Society social-media accounts;
admissions/recruitment materials (the Member's name or image must not be used as a recommendation or testimonial);
presentations;
Society-owned printed or digital brochures.
This consent does not of itself authorise:
paid advertising;
licensing to, or reuse by, partners or other third parties;
press syndication;
sale of the images or video;
AI training or facial recognition;
use of the Member’s full legal name;
quoted testimonials;
identifiable voice/audio.
Those uses require separate specific approval.
A refusal of consent does not affect admission, fellowship, programme eligibility or participation.
The Member or guardian may withdraw consent at any time in writing or by email to admissions@jadebanyansociety.com. After withdrawal, the company will stop new promotional use and make reasonable efforts to remove the material from editable company-controlled digital placements. The company cannot guarantee recovery of printed materials already distributed, third-party reposts, caches or material outside its technical control, but withdrawn material must not be newly reused by the company. Withdrawal does not affect the validity of promotional use and other personal information processing carried out on the basis of consent before the withdrawal.
This consent concerns only the Member's and guardian's agreement to the use of their identifiable image and does not concern the copyright in the photographs, video or other works concerned. The ownership of that copyright and any licence to use it are agreed separately between the company and the rights holder.
Phone-Free Policy
Version: 2026-10-10 · Effective date: 2026-10-10
Members may use their personal phones during independent travel to the programme.
At programme check-in:
the phone is powered off;
it is placed in the company’s proper custody, individually identified per Member;
the receipt and storage of the phone are recorded.
Routine personal use, social media and unrestricted messaging or calling do not form part of the residential programme.
Temporary use may be approved by staff only where a specific necessity arises, including:
travel or identity logistics;
a serious family matter;
health or safeguarding need;
another necessity that cannot reasonably be handled without the device.
The reason, the approving person, the issue time, the return time and re-storage must be recorded. Temporary use does not constitute final return of the phone.
Phones are returned to Members on departure from the programme.
Before arrival, the guardian receives one official urgent-contact route and one backup route. The Member’s personal phone and GPS/SOS device are not the family’s routine contact channels.
Non-urgent family messages may be passed through the official programme route when appropriate. Members may raise reasonable requests to contact their guardian through staff. The company does not undertake to provide an immediate Member response and does not arrange routine scheduled family calls.
Phones and other deposited items are individually identified and kept in proper custody by the company. Society staff must not inspect call records, messages, photographs or other content on a phone. Where a deposited item is lost or damaged during custody by reason of a cause not attributable to the company or of the nature of the item itself, the Member and guardian shall bear the loss themselves.
Cancellation & Refund Policy
Version: 2026-10-10 · Effective date: 2026-10-10
Cancellation by the Member or guardian
Where the Member or guardian cancels:
More than 30 calendar days before programme commencement: the programme fee paid is refunded less a fixed cancellation charge of US$1,000 for USD bookings or RMB 7,000 for RMB bookings. The deduction may not exceed the programme fee paid.
30 calendar days or fewer before programme commencement: 50% of the programme fee paid is refunded.
After programme commencement: the programme fee is not refunded, except in the following circumstances:
(a) where the company cancels the programme or fails to provide the core services as agreed;
(b) the portion of the programme fee corresponding to services not performed, where a Member departs early for illness or conduct-related reasons;
(c) other circumstances in which a refund is required by law or administrative regulation.
Illness, visa refusal, flight disruption, personal travel disruption and voluntary withdrawal are subject to the same refund arrangements, unless the company expressly agrees otherwise in writing or mandatory law requires otherwise.
Where a Member departs early after programme commencement for conduct-related or medical reasons, fees for services already performed are not refunded, and the services not performed are settled in accordance with the relevant terms of the Participation Agreement between the Member and the company. Where law, administrative regulations or judicial interpretations make special provision for the refund of prepayments, those provisions apply.
Cancellation by the Society
Where the Society cancels the entire programme, the programme fees paid are refunded in full.
Airfare, visa costs, independent travel, outside accommodation, consequential losses and other third-party costs are not of themselves included in that refund.
Activity changes
An individual activity may be modified, rescheduled, replaced or cancelled because of weather, safety, Member eligibility, activity-provider arrangements or operational conditions.
Such an adjustment does not of itself create a right to an activity-specific refund.
Force majeure
Where an event of force majeure prevents performance of the programme in whole or in part, the parties settle the performed and unperformed services and the corresponding refunds in accordance with the provisions of the Civil Code of the People's Republic of China on force majeure and the actual effect on performance.
Refund processing
Refunds are processed through the authorised finance/reconciliation procedure and normally returned in the original booking currency to the original remitter or account where appropriate and permitted. The company will initiate the refund in accordance with the refund procedure set out in the Participation Agreement between the Member and the company; where law or administrative regulation requires a shorter period, that period applies.. Where banking, foreign-exchange or anti-money-laundering requirements necessitate a longer period, the company will explain the reason and the expected completion date in writing within that period.
For this policy, “programme commencement” means the programme commencement date and Hainan local time stated in the Member’s offer documents. In this policy, “programme fees” means the total programme fee stated in the Member’s offer documents.
This policy is governed by the laws of mainland China. Statutory rights that cannot lawfully be excluded, including any right of refund or termination under consumer protection law, take priority over this policy.
